Kentucky Registered Agent for Out-of-State Businesses

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Kentucky is a "foreign LLC" from Kentucky's perspective. The same applies to corporations and other entity types.

Kentucky (KRS 14A.9-010) says a foreign entity may not transact business in the Commonwealth until the Secretary of State grants it a certificate of authority. The phrase isn't defined, but the statute names eleven activities that fall outside it, such as interstate commerce, a single transaction finished within thirty days, simply holding real or personal property, independent contractors doing your selling, bank accounts, internal meetings, and orders that only become contracts once accepted elsewhere. You also need the certificate to win a Kentucky state contract.

What a Kentucky Registered Agent Does for a Foreign Entity

Your Kentucky registered agent is the legal point of contact for your foreign entity in Kentucky. The agent:

• Receives service of process if your business is sued in Kentucky
• Is a Kentucky resident, or an entity formed or qualified here, whose business address is your registered office

How to Foreign-Qualify in Kentucky

The general process for registering an out-of-state entity in Kentucky:

1. Nothing to order from home. Kentucky has you certify on the form that your LLC validly exists in its home jurisdiction; no good standing certificate is attached.

2. Designate a Kentucky registered agent. You can use a commercial registered agent service or appoint an individual who lives in Kentucky.

3. File Form FBE ($90). The Certificate of Authority form costs $90 online through FastTrack or on paper, and filings are usually processed the same day. Your name must match your home-state record exactly; if it's unavailable, list the name you'll use in Kentucky. Afterward, file a copy with your registered office's county clerk, for about $33.

4. File a $15 annual report each spring. File the first report between January and the end of June in the year after you register, then every year in that window. A foreign entity that misses it can have its certificate revoked and must apply all over again.
